Simantis Technologies offers specialized mechanical design and consultancy services, primarily including, but not limited to:
MIL design Service on Shock & Vibration problems
Analysis on Structure borne & Air borne Noise
Mechanical Design & 3D Modeling
FEA Services (Finite Element Analysis)
Computational Fluid Dynamics (CFD)
Prototype Development & Testing
The specific scope of work, deliverables, timelines, and fees for any project shall be defined in a separate written agreement, proposal, or Statement of Work (SOW), which, once executed, will form an integral part of these Terms.
The Client agrees to:
Provide all necessary information, data, specifications, and access to personnel required for Simantis to perform the services in a timely and accurate manner.
Ensure that all materials and information provided to Simantis are accurate, complete, and do not infringe upon the intellectual property or other rights of any third party.
Provide timely feedback, approvals, and decisions as required throughout the project lifecycle.
Make payments for services rendered as specified in the SOW or invoice.
Fees: All services are provided on a fee-for-service basis, as detailed in the applicable SOW or project proposal.
Payment: Payment terms (e.g., upfront payment, milestone payments, net days) will be specified in the SOW or invoice. Simantis reserves the right to suspend work if payments are not received according to the agreed schedule.
Cancellation: If a project is cancelled by the Client after the SOW is signed, the Client shall be liable for all work completed up to the date of cancellation, plus any non-cancellable commitments (e.g., software licenses, third-party costs) and a reasonable cancellation fee.
Client IP: All confidential information, data, designs, specifications, and background technology provided by the Client to Simantis shall remain the exclusive property of the Client.
Deliverable IP: Unless otherwise agreed in the SOW, upon full and final payment for the Services, Simantis shall assign to the Client the intellectual property rights in the final, specified design deliverables created explicitly for the Client under the SOW.
Simantis IP: Simantis retains all intellectual property rights in its proprietary methodologies, tools, software, analysis techniques, and general know-how that were used to perform the services.
Both parties agree to maintain the confidentiality of all proprietary or confidential information disclosed by the other party during the course of the engagement. This obligation survives the termination of the engagement. This is especially critical given Simantis's work in sensitive industries like military and automotive.
In no event shall Simantis Technologies be liable for any indirect, incidental, special, or consequential damages (including, without limitation, damages for loss of profits, data, or business interruption) arising out of or related to these Terms or the services provided. Simantis's total liability for any claim arising out of the performance or non-performance of the services shall not exceed the total fees paid by the Client to Simantis for the specific services giving rise to the claim.
Simantis provides its services using reasonable care and professional skill. However, Simantis makes no warranty, express or implied, regarding the final results of its services, including any warranties of merchantability or fitness for a particular purpose, or that the deliverables will be error-free or suitable for any specific application outside the scope of the SOW.
